GENERAL SERVICE TERMS

Clear terms for working with Sales Desk.

Sales Desk is published by MiTL Studio and operated by Legacy Space Inc. These terms are effective September 20, 2026.

1. Agreement, service, and eligibility

Sales Desk is a service published by MiTL Studio. Legacy Space Inc., operating as MiTL Studio (“MiTL Studio,” “Sales Desk,” “we,” “us”), provides tools and production services that help customers turn approved source material into proposal drafts, video-led sales experiences, and related deliverables. By creating an account, authorizing a connected assistant, placing an order, or using Sales Desk, you agree to these terms. You must be legally able to enter an agreement and, when acting for an organization, authorized to bind it.

2. Accounts and security

You are responsible for the accuracy of account information, for activity authorized through your account, and for protecting access to your sign-in methods and connected assistants. Notify keith@bapl.ai promptly if you believe an account or connection has been compromised.

3. Customer content and permissions

You retain ownership of content you submit. You grant Sales Desk a limited, worldwide, non-exclusive permission to host, reproduce, transform, and share that content with approved service providers only as needed to operate the service and produce work you authorize. You represent that you have the rights, consents, and authority required for submitted text, files, trademarks, voices, likenesses, and other materials.

4. Connected assistants

A connected assistant receives only the permissions shown during authorization. The current proposal-import scope can save proposal text to the connected account and retrieve the review link for drafts it imported. It does not authorize payment, production, publication, or access to other customers’ information. You may revoke a connection at any time.

5. Review, production, and approvals

Imported or generated material remains a draft until the customer reviews it. Delivery timing begins only after required source material, commercial terms, and approvals are complete. The customer is responsible for reviewing factual claims, permissions, legal compliance, and final approvals before use or publication.

6. Fees, subscriptions, and cancellation

Prices, taxes, included services, payment timing, renewal terms, and cancellation rights are shown at checkout or in an applicable written order. Stripe processes supported payments. The separate Always-On terms apply to that subscription and form part of these terms for Always-On orders. If they conflict on subscription price, minimum term, renewal, cancellation, or included production, the Always-On terms control for that order. Nothing in these terms limits a non-waivable statutory cancellation or refund right.

7. Acceptable use

Do not use Sales Desk to violate law or third-party rights; impersonate a person without permission; submit malware, secrets, or unlawful personal data; mislead buyers with materially false claims; probe or bypass access controls; or interfere with the service. We may suspend access reasonably needed to protect customers, the service, or third parties.

8. AI and third-party services

Some drafts, previews, and production assets may be created with AI or processed by approved providers. Outputs can contain errors or resemble existing material and require human review. Third-party identity, payment, hosting, and production services may apply their own terms. We remain responsible for our obligations under these terms but do not control an independent third party’s services.

9. Intellectual property

Sales Desk retains rights in its software, templates, systems, trademarks, and pre-existing production materials. Ownership and usage rights for commissioned deliverables follow the applicable order or written agreement. Unless an order says otherwise, after full payment you may use the finished customer-specific deliverables for your internal business and commercial sales purposes. No right to use another party’s trademarks, likeness, confidential material, source code, or reusable production system is implied.

10. Privacy and confidentiality

The Sales Desk privacy notice describes how account and customer information is handled. Each party will protect the other party’s non-public information with reasonable care and use it only for the agreed service, subject to legal obligations and approved service providers. Privacy obligations that cannot lawfully be limited remain unaffected.

11. Warranties and disclaimers

We will perform authorized production services with reasonable care and skill. Except for that commitment and any warranty that cannot legally be excluded, Sales Desk, drafts, AI-assisted outputs, and connected-assistant features are provided “as is” and “as available.” We do not guarantee uninterrupted availability, a particular commercial result, buyer response, revenue outcome, or that generated material will be error-free. You remain responsible for final factual, legal, brand, and permission review.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from these terms. Each party’s aggregate liability arising from these terms is limited to the greater of CAD $100 and the amounts paid or payable by the customer to Sales Desk during the 12 months before the event giving rise to the claim. These limits do not apply to payment obligations, fraud, wilful misconduct, gross negligence, breach of confidentiality, infringement or misuse of the other party’s intellectual property, indemnity obligations, or liability that cannot legally be limited.

13. Indemnity

You will defend and indemnify Legacy Space Inc. and its personnel against a third-party claim arising from customer content, your instructions, your unlawful use of the service, or your breach of the rights-and-permissions promises in section 3. We will promptly notify you and allow you reasonable control of the defence, provided that no settlement may admit fault for us or impose a non-monetary obligation on us without our written consent. This section does not apply to the extent a claim results from our breach, gross negligence, or wilful misconduct.

14. Suspension and termination

You may stop using Sales Desk and revoke assistant connections at any time. Order, minimum-term, payment, cancellation, and refund obligations continue as stated at checkout, in the Always-On terms, or in a written order. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or risk to customers or third parties. When reasonably possible, we will give notice and an opportunity to cure. Sections that by their nature should survive—including payment, ownership, confidentiality, liability, indemnity, disputes, and records needed for legal or business purposes—continue after termination.

15. Changes

We may update these terms prospectively. Material changes will be posted with a new effective date and, when reasonably practical, communicated through the service or account contact. Changes do not retroactively alter a signed order unless the parties agree. Continued use after the effective date constitutes acceptance where permitted by law.

16. Governing law and disputes

These terms are governed by the laws of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before filing a claim, the parties will try in good faith for 30 days to resolve it after written notice. Subject to any non-waivable statutory right, the courts located in Winnipeg, Manitoba have exclusive jurisdiction. Nothing prevents either party from seeking urgent injunctive relief to protect access controls, confidential information, or intellectual property.

17. General and contact

These terms, the privacy notice, applicable checkout disclosures, the Always-On terms when selected, and any written order form the agreement for the relevant service. If one provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A waiver must be in writing and applies only to the stated instance. You may not assign these terms without our consent, except as part of a permitted sale of substantially all relevant business assets; we may assign them as part of a reorganization, financing, or sale of the service.
